1. Introduction
These Terms of Service ("Terms") govern your access to and use of the HEORACLE platform ("Platform"), operated by Aide Solutions LLC ("Aide Solutions," "we," "us," or "our"). By accessing or using the Platform, you ("User," "you," or "your") agree to be bound by these Terms.
If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1.2. If your organization has executed a separate written Master Services Agreement (MSA) or Enterprise Agreement with Aide Solutions governing the use of the Platform, the terms of that signed agreement shall supersede these Terms in the event of any direct conflict.
1.3. Your access to and use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
2. Description of Service
The HEORACLE platform is an AI-powered health economics modeling and research platform that assists researchers and analysts in developing, validating, and reporting on health economic models. The Platform uses artificial intelligence, including large language models (LLMs), to process published research data and generate model specifications, executable code, quality assessments, and formatted reports.
3. Account Registration and Security
3.1. You must register for an account to access the Platform. You agree to provide accurate and complete information during registration.
3.2. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must not share your account credentials with unauthorized individuals.
3.3. You agree to notify Aide Solutions immediately at contact@aidesolutions.net if you suspect any unauthorized access to your account or any other breach of security.
4. Acceptable Use
4.1. You agree to use the Platform only for lawful purposes and in accordance with these Terms.
4.2. You must not upload, transmit, or process any of the following through the Platform:
- Protected Health Information (PHI) as defined under HIPAA
- Personally identifiable patient-level clinical trial data
- Data subject to regulatory restrictions (e.g., HIPAA, GDPR) unless a separate Data Processing Agreement is in place
- Classified, restricted, or export-controlled information
- Malicious code, viruses, or any content designed to disrupt the Platform
4.3. You are responsible for ensuring that all data uploaded to the Platform complies with your organization's data classification and handling policies.
4.4. You acknowledge that the Platform operates on Aide Solutions' standardized, secure cloud infrastructure. While Aide Solutions enforces strict baseline confidentiality and security controls (as outlined in Section 7), we are not bound by your organization's internal custom IT or security policies unless explicitly agreed upon in a separate written Master Services Agreement.
5. AI-Generated Outputs
5.1. The Platform uses artificial intelligence, including third-party large language models, to generate outputs such as model specifications, code, analyses, and reports.
5.2. You are responsible for reviewing all AI-generated outputs for accuracy, completeness, and appropriateness before using them in regulatory submissions, publications, clinical decision-making, or any business decisions.
5.3. Aide Solutions does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output. AI models are probabilistic in nature and may produce errors, hallucinations, or incomplete results.
5.4. Aide Solutions shall not be liable for any decisions made or actions taken based on AI-generated outputs from the Platform.
6. Data Handling and Privacy
6.1. Data Processing: Data uploaded to the Platform is processed to generate the requested outputs. Uploaded documents are processed in the application session and are not retained beyond the session unless explicitly saved by the User.
6.2. Third-Party AI Providers: The Platform integrates with third-party AI providers (including Anthropic, OpenAI, and Google) via API. Data sent to these providers is transmitted over encrypted connections and is not used by these providers for model training (Commercial API agreements with strict zero-data-retention and no-training policies are enforced across all LLM providers). These integrations are stateless; no client data is persisted by the AI providers.
6.3. Data Separation: Each user's data is logically separated within the Platform. Aide Solutions does not share, aggregate, or use one user's data for another user's purposes.
6.4. Data Retention: User account information (email address) is retained for the duration of the account. Session data and generated outputs are retained in accordance with the Platform's data management procedures. Users may request deletion of their account and associated data by contacting contact@aidesolutions.net.
6.5. No PHI/PII Processing: The Platform is not designed to process Protected Health Information (PHI) or significant Personally Identifiable Information (PII). The Platform processes published evidence, model parameters, and research data only.
7. Security
7.1. Aide Solutions implements reasonable security measures to protect the Platform and user data, including:
- Encryption of data in transit (TLS/HTTPS)
- Encryption of data at rest
- Multi-factor authentication on infrastructure accounts
- Regular access reviews
- Continuous monitoring and threat detection
- Secure software development practices
7.2. Aide Solutions maintains a comprehensive Information Security Management System (ISMS) engineered to align with strict industry standards, including the ISO/IEC 27001 and AICPA SOC 2 frameworks. Current compliance and attestation status can be provided to Enterprise clients upon request.
7.3. Despite these measures, no system is completely secure. You acknowledge that you use the Platform at your own risk.
8. Intellectual Property
8.1. Platform IP: The HEORACLE platform, including its software, algorithms, user interface, documentation, and branding, is the intellectual property of Aide Solutions LLC. Nothing in these Terms grants you any ownership rights in the Platform.
8.2. User Data: You retain all rights to the data you upload to the Platform. Aide Solutions does not claim ownership of your data. However, by uploading data to the Platform, you grant Aide Solutions a worldwide, non-exclusive, royalty-free license to host, process, and transmit such data (including transmitting to our sub-processing AI partners via secure API) strictly for the purpose of providing the Platform services to you. Additionally, you grant Aide Solutions the right to generate anonymized, aggregated usage data and metadata to analyze platform performance and improve the Platform, provided such data cannot be reverse-engineered to identify you, your organization, or your proprietary inputs.
8.3. Generated Outputs: Outputs generated by the Platform based on your inputs are provided to you for your use. Aide Solutions does not claim ownership of outputs generated from your data.
9. Availability
9.1. Aide Solutions targets 99% Platform availability during business hours (Monday through Friday, 8:00 AM to 8:00 PM Eastern Time), excluding scheduled maintenance.
9.2. Aide Solutions will make reasonable efforts to provide advance notice of scheduled maintenance that may affect availability.
9.3. Aide Solutions shall not be liable for any unavailability caused by circumstances beyond our reasonable control, including internet connectivity issues, third-party service outages, or force majeure events.
10. Limitation of Liability
10.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDE SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
10.2. AIDE SOLUTIONS' TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AIDE SOLUTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10.3. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE.
11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. AIDE SOLUTIONS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AIDE SOLUTIONS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.
12. Indemnification
You agree to indemnify and hold harmless Aide Solutions and its officers, directors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data you upload to the Platform.
13. Termination
13.1. You may terminate your account at any time by contacting contact@aidesolutions.net.
13.2. Aide Solutions may suspend or terminate your access to the Platform at any time, with or without cause, upon reasonable notice.
13.3. Upon termination, your right to access the Platform ceases immediately. Aide Solutions will securely delete your account data within thirty (30) days of termination, unless retention is strictly required by law.
14. Modifications
Aide Solutions may modify these Terms at any time. Material changes will be communicated to registered users via email. Your continued use of the Platform after such notice constitutes acceptance of the modified Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of the State of Delaware.

17.1. You are responsible for maintaining the confidentiality of your login credentials and not sharing accounts with unauthorized individuals.
17.2. You are responsible for ensuring that data uploaded to the Platform complies with your organization's data classification and handling policies.
17.3. You are responsible for not uploading Protected Health Information (PHI), personally identifiable patient data, or data subject to regulatory restrictions (e.g., HIPAA, GDPR) to the Platform.
17.4. You are responsible for notifying Aide Solutions promptly if you suspect unauthorized access to your account or any security incident related to the Platform.
17.5. You are responsible for reviewing AI-generated outputs for accuracy before using them in regulatory submissions, publications, or business decisions.
